Terms of Service

1. Agreement to terms
By creating an account or using the QuipKey platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform. These Terms form a legally binding agreement between you and QuipKey (“we”, “us”, “our”).
2. Eligibility
You must be at least 18 years old and legally capable of entering into contracts to use the Platform. The Platform is available to users in the United States and Canada. By using the Platform, you confirm you meet these requirements.
3. User roles and accounts
The Platform serves distinct roles: property owners (landlords) and their manager/concierge staff, tenants (renters), and contractors. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Providing accurate and truthful information during registration and use.
- Notifying us immediately of any unauthorized access to your account.
Identity verification (KYC) is required before you can transact on the Platform, proportional to the money and trust involved:
- Owners / landlords must pass government-ID identity verification (via our verification provider, Stripe Identity) and prove they control each property (ownership documents, reviewed by us) before a subscription can start or any rent is collected. Businesses must also complete beneficial-ownership (KYB) verification.
- Tenants must pass identity verification before paying rent through the Platform — including to a landlord who is not a QuipKey user — and, where enabled, before signing a lease.
- Contractors must complete full KYC — government-ID verification, trade/licence documentation, a non-refundable verification fee, and admin review — before accepting any job, and may be required to complete a criminal background check. Contractors must keep device location enabled while working (see Section 6), and identity verification may need to be renewed periodically to stay active.
- From each completed verification we derive a one-way, non-reversible identity fingerprint used solely to prevent fraud, block banned individuals from re-registering, and prevent the same person from being on both sides of a payment. Providing false identity information, or verifying with an ID that is not yours, is prohibited and may result in permanent suspension.
4. Subscriptions and billing
Access to the Platform is provided on a subscription basis, billed per door (each rentable unit) per month. Subscriptions are subject to the pricing and plan terms displayed at the time of purchase. Prices are in USD unless otherwise stated.
- Subscriptions renew automatically unless cancelled before the renewal date.
- Subscription billing begins when your first property passes ownership verification. A valid payment method is required before verification can be completed. There is no free trial period.
- Downgrading, upgrading, or cancelling your plan can be done at any time from your account settings.
- All prices are exclusive of taxes. As a Quebec-based business, QuipKey applies Canadian federal GST and Quebec QST to all platform fees (subscriptions, seats, and other charges); applicable taxes are shown at checkout and on every invoice.
- Refunds are not provided for partial billing periods, except where required by applicable law.
5. Payments and funds
QuipKey facilitates rent collection and service payments through our third-party payment processor (Stripe). You agree to their terms when using payment features. You acknowledge:
- Funds held in escrow for service jobs are released upon verified job completion only.
- Video proof of completion is required before contractor payouts are released.
- ACH/PAD transfers are free for tenants. Credit card processing fees are disclosed to and borne by the paying party.
- QuipKey is not a bank. We do not hold funds on your behalf outside of service escrow flows.
- Facilitated rent: a tenant may pay rent to any landlord — including one not registered with QuipKey — via Stripe Connect. The landlord receives the full rent; the paying tenant covers a small processing fee (waived for bank/ACH where a landlord's subscription covers it). QuipKey is a payment facilitator, not the recipient of the rent; Stripe is the money transmitter.
- Pay by card (QuipKey Flex): an optional paid feature lets a tenant pay rent by credit card. The monthly fee and card processing are disclosed to and borne by the tenant.
- No self-dealing: the same verified identity may never be both the payer and the payee of a Platform-facilitated payment (for example, paying rent to yourself, or accepting a job you posted). Such transactions are prohibited and are blocked.
- Wasted-trip / call-out fee: where enabled, if a contractor arrives at a job site and genuinely cannot access it after waiting the required time and providing proof of presence, the requester may be charged a fixed call-out fee — shown before the job is submitted — from escrow and paid to the contractor. You agree to this when submitting a job with access instructions.
6. Contractor marketplace
Contractors must complete full identity verification (KYC) before accepting jobs, and may be required to pass a criminal background check. By accepting a job, a contractor agrees to:
- Complete the work as described and submit live video proof of completion before any payout.
- Keep device location enabled while they have an active job. Location is used to confirm the contractor can reach and is present at the job site, captured only at key moments (accepting a job and checking in) — not continuously. Turning off or tampering with location during an active job may cause the job to be cancelled and reassigned; repeated violations may suspend the account.
- Not be a no-show. Accepting a job and failing to arrive (no check-in by the scheduled time) may immediately lock the account until the contractor contacts support.
- Only accept jobs they can legally and professionally complete, and never collude with a requester to fraudulently release funds.
QuipKey takes a platform commission on completed jobs as disclosed in our pricing. Disputes — including wasted-trip claims — are handled through our in-platform dispute-resolution process, with binding admin arbitration where a dispute is filed.
7. Electronic signatures
E-signatures created on the Platform are legally binding in the United States under the ESIGN Act and in Canada under applicable provincial electronic commerce legislation and PIPEDA. Each signature is logged with a SHA-256 hash, timestamp, IP address, and user ID. By signing a document on the Platform, you consent to the use of electronic signatures and agree they carry the same legal weight as a handwritten signature.
8. Prohibited conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Post false, misleading, or fraudulent information, including fake maintenance requests or fabricated video proof.
- Attempt to circumvent payment obligations, including blocking legitimate rent transactions.
- Interfere with or disrupt the Platform's infrastructure or security measures.
- Attempt to access other users' accounts or data without authorization.
- Reverse engineer, copy, or resell the Platform without written permission.
9. Intellectual property
The Platform, including its software, design, trademarks, and content, is owned by QuipKey and protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Platform for its intended purposes. You retain ownership of the data you upload to the Platform.
10. Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied. QuipKey does not guarantee that the Platform will be uninterrupted, error-free, or free of viruses. QuipKey is not a law firm and does not provide legal advice. Lease templates are provided for convenience only; consult a qualified attorney for jurisdiction-specific legal requirements.
Rental listings. QuipKey is a technology platform, not a real estate broker or agent, and is not a party to any lease or rental transaction. Rental agreements are entered into directly between the property owner and the tenant. While QuipKey verifies property ownership before a property may be listed, it does not endorse or guarantee the accuracy, completeness, or availability of any listing, or the identity or conduct of any user. Owners are solely responsible for the content and legality of their listings, and renters are responsible for independently verifying details before applying or entering into any agreement.
Fair housing. QuipKey supports equal housing opportunity. All housing advertised on the Platform is offered without regard to race, colour, religion, sex, disability, familial status, national origin, sexual orientation, gender identity, source of income, or any other class protected by the U.S. Fair Housing Act, applicable state and local law, or applicable Canadian federal and provincial human rights legislation. Discriminatory listings, statements, or conduct are prohibited and may result in removal and account termination.
11. Limitation of liability
To the maximum extent permitted by applicable law, QuipKey's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid to QuipKey in the 12 months preceding the claim or (b) USD $100. QuipKey is not liable for any indirect, incidental, special, or consequential damages.
12. Termination
You may terminate your account at any time from your account settings. We may suspend or terminate your account immediately if you violate these Terms or if we reasonably believe your use of the Platform poses a risk to other users or the Platform's integrity. Upon termination, your right to use the Platform ceases immediately. Data retention after termination is governed by our Privacy Policy.
13. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein (for Canadian users) or the laws of the State of Delaware (for US users), without regard to conflict of law principles. Any dispute arising under these Terms shall first be submitted to good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration rather than in court, except that either party may seek injunctive relief in a court of competent jurisdiction.
14. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use after that date constitutes acceptance of the revised Terms.
